By providing your consent (for example, by responding with #YesFreshpet or otherwise indicating your consent) after being provided with a link to these terms, you agree to be bound by these terms.

You grant Freshpet, Inc. (“Freshpet,” “we,” “us”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable and sublicensable (through multiple tiers) right to use the content that we requested to use (the “User Content”) in any manner we determine in our sole discretion, including for advertising, marketing, promotional, and commercial purposes, in any media now known or hereafter developed.

Without limiting the foregoing, Freshpet may use, display, reproduce, distribute, transmit, modify, adapt, create derivative works from, combine with other materials, alter and/or edit the User Content, and may authorize others (including our affiliates, agencies, contractors, and partners) to do the same, in each case without any obligation to you. You grant Freshpet the right to use your username, real name, image, likeness, voice, caption, city and/or state (to the extent included in the User Content), or other identifying information in connection with any use of the User Content. The rights granted to Freshpet will survive any deletion of the User Content from the applicable platform or any termination of your account on such platform.

You acknowledge and agree that: (i) the User Content and Freshpet’s use of it will be public and non-confidential; (ii) Freshpet has no obligation to credit you in connection with any use of the User Content; (iii) you are solely responsible for the content you submit to social media platforms; (iv) you are solely responsible for any disclosures required by applicable law or platform rules in connection with your User Content; (v) the opportunity to be featured by Freshpet constitutes sufficient consideration for the rights granted herein; and (vi) we have no obligation to use the User Content and no obligation to provide you compensation.

You represent and warrant that: (i) you own all rights in and to the User Content or have obtained all necessary rights, licenses, consents, and permissions (including from all individuals appearing in the User Content) to grant the rights granted herein; (ii) you are at least the age of majority in your place of residence; (iii) you are legally permitted to submit the User Content; (iv) the User Content complies with the terms, guidelines, and policies of the platform on which it was posted; and (v) the User Content is not unlawful, defamatory, obscene, pornographic, abusive, threatening, harassing, hateful, or otherwise objectionable.

You irrevocably release, discharge, and agree to hold harmless Freshpet and its affiliates from any claims, demands, or liability arising out of or related to Freshpet’s use of the User Content, including any claims for infringement, misappropriation, violation of privacy or publicity rights, or moral rights (to the extent permitted by law), and you agree not to assert such rights against Freshpet. You waive any right to compensation, approval, or notice in connection with such use.
